Ughi e Nunziante with Cotecna in the acquisition of Suolo e Salute

PRESS RELEASE

Cotecna Inspection SA announces the acquisition of Suolo e Salute, a leading certification and control organization for organic products in Italy, thus reaffirming its commitment to the agri-food sector. Approved by the Italian Council of Ministers under the Golden Power legislation, the operation represents a key step in Cotecna’s expansion strategy, consolidating its position in the agri-food sector with a focus on certification, sustainability, and food safety.

The acquisition of Suolo e Salute enables Cotecna to strengthen its offering in Italy, a key market for organic products in Europe, and expand its international presence through the Group’s global network.

As part of the agreement, the organizational structure and the management team of Suolo e Salute will remain in place, ensuring operational continuity and preserving its strong presence in Italy. This approach represents a strategic advantage, ensuring certified companies receive a localized, personalized, and high-quality service.

Advisors

Ughi e Nunziante assisted Cotecna with a team coordinated by Partner Amon Airoldi, supported by Senior Associate Pietro Pastorello for contractual matters. Partner Andrea Marega, assisted by Associates Giorgia Diotallevi and Carlotta Carta, handled regulatory and administrative law aspects, including the procedure under the Golden Power legislation. Cotecna’s in-house legal team, represented by Dr. Piero Chiavacci, oversaw the entire process.

Bogoni Law Firm, with Partner Inge Bisinella, handled domestic and international tax matters and the corporate and financial structuring of the transaction on behalf of Cotecna.
